VADA Privacy Policy

This Privacy Policy explains how VADA, Inc. (“VADA,” “we,” “our,” or “us”) collects, uses, protects, and shares information when you use our Subscription Service, Website, or related services. By using VADA’s services, you agree to this Privacy Policy.

1. Information We Collect

We may collect the following categories of information:

  • Customer Data: Information input by Customers and Users into the Subscription Service, including metrics, performance information, and operational data.

  • Personal Information: Information that identifies or can identify an individual, such as name, email address, phone number, or billing information.

  • Protected Health Information (PHI): Information subject to HIPAA that may be entered by Customers or Users. Handling of PHI is governed by VADA’s [Business Associate Agreement (BAA)

  • Usage Data: Technical information about how the Service is accessed and used, including device information, log data, browser type, and interaction with features.

  • De-Identified Data: Data that has been stripped of identifiers and aggregated for analytics, benchmarking, and product improvement.

2. How We Use Information

We use the information we collect to:

  • Provide and maintain the Subscription Service.

  • Generate Daily Briefs, tasks, and action lists.

  • Deliver live Daily Brief updates during the Trial and twice per month under a paid subscription.

  • Process payments, manage accounts, and provide customer support.

  • Improve, update, and enhance our services.

  • Ensure security, prevent misuse, and comply with legal obligations.

3. Sharing of Information

We do not sell Customer Data, Personal Information, or PHI. We may share information as follows:

  • With Service Providers: Third-party vendors who provide hosting, billing, or support services.

  • As Required by Law: To comply with subpoenas, legal processes, or regulatory requirements.

  • For Security Purposes: To prevent fraud, protect safety, or enforce our Terms of Service.

  • With Consent: When explicitly authorized by the Customer.

4. HIPAA and PHI

If you enter or store PHI in the Subscription Service, VADA acts as a Business Associate under HIPAA. Our responsibilities and safeguards for PHI are defined in the [Business Associate Agreement (BAA)]. Customers are responsible for ensuring HIPAA compliance when entering PHI into the Service.

5. Data Security

We implement commercially reasonable administrative, technical, and physical safeguards to protect Customer Data, PHI, and Personal Information, including encryption in transit and at rest. However, no system is 100% secure, and Customers remain responsible for safeguarding their login credentials and ensuring appropriate access controls.

6. Data Retention

  • Customer Data is retained for the duration of your subscription.

  • Upon cancellation, Customer Data may be retained for up to 30 days to allow retrieval, after which it may be permanently deleted.

  • De-identified and aggregated data may be retained indefinitely.

7. SMS Communications

If you use VADA’s SMS features, you agree to comply with applicable laws regarding consent and opt-out rights for patients and staff. SMS usage is further governed by VADA’s [SMS Volume Limits and Pricing Policy].

8. Cookies and Tracking

VADA’s website and platform may use cookies and similar technologies to improve functionality, analyze usage, and personalize content. Customers can control cookie settings through their browser, but disabling cookies may affect functionality.

9. Children’s Privacy

10. Your Rights

Depending on your location, you may have certain rights regarding your personal information, including:

  • Accessing and obtaining a copy of your information.

  • Requesting corrections or updates.

  • Requesting deletion, subject to legal and contractual restrictions.
